Terms of Service

QMedify provides software to support medical device regulatory work, including clinical evaluation authoring and literature review. The Service is a drafting aid; it does not constitute regulatory, legal, or medical advice, and you remain responsible for the accuracy, completeness, and regulatory compliance of any output you rely on.

You must provide accurate registration information and keep your credentials secure. A Starter subscription is for a single named user. You are responsible for all activity under your account.

The Service is billed in advance on a monthly or annual basis through our payment processor, Stripe. Fees are stated exclusive of VAT and other applicable taxes, which are added at checkout where required. Subscriptions renew automatically until cancelled. Cancellation and refund terms are set out in the Refund & Cancellation Policy.

You agree not to misuse the Service, including by attempting to gain unauthorised access, reverse engineering, reselling access, or uploading unlawful content or content you lack the rights to use.

QMedify retains all rights in the Service. You retain all rights in the content and data you submit, and you grant QMedify the limited licence needed to operate the Service and generate output for you.

Processing of personal data is described in our Data Handling information. Where QMedify processes personal data on your behalf as a processor (for example, personal data contained within the content and data you submit to your workspace), the terms of our Data Processing Agreement, available at qmedify.com/dpa, apply and are incorporated into these Terms by reference. Where QMedify processes personal data as a controller in its own right (for example, your account, billing, and marketing data), that processing is described in our privacy notice.

The Service is provided “as is”. To the maximum extent permitted by law, QMedify disclaims all implied warranties. Neither party excludes or limits its liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; (c) any liability which cannot lawfully be excluded or limited under applicable law; or (d) intentional misconduct or gross negligence. Subject to those exceptions, and to the maximum extent permitted by law: neither party shall be liable to the other for any indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the Service; and QMedify’s aggregate liability arising out of or in connection with these Terms, however arising, shall not exceed the total amounts paid by you for the Service in the 12 months immediately preceding the event giving rise to the claim.

You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms or non-payment.

We may update these Terms from time to time. Material changes will be notified to you, and continued use after the effective date constitutes acceptance.

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict-of-laws principles. The courts of Riga, Latvia have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, and each party irrevocably submits to that jurisdiction. This clause does not deprive a consumer resident in another EU/EEA member state of the protection afforded by the mandatory consumer-protection provisions of the law of their country of habitual residence, nor of their right to bring proceedings before the courts of that country, as provided under Regulation (EU) No 1215/2012 (Brussels I bis) and Regulation (EC) No 593/2008 (Rome I).
